Terms of Service
Effective August 15, 2026
These terms govern your use of the Cicero Learning website and our one-to-one online tutoring services. By using the site, booking a consultation, or enrolling a student, you agree to these terms and to our Privacy Policy. If you do not agree, please do not use the service.
We have tried to write these in plain language. If anything here is unclear, email cicero@cicerolearning.com and we will explain it properly.
Who we are
Cicero Education, Inc., trading as Cicero Learning ("Cicero", "we", "us"), of 16192 Coastal Highway, Lewes, DE 19958. "You" means the parent or guardian who sets up an account, or any adult who uses the service on their own behalf.
Who may use Cicero
Our service is built for students, most of whom are minors. Because of that, a parent or legal guardian must set up the account and accept these terms on the student's behalf. Students under 18 may not enrol themselves or open their own account.
By creating an account you confirm that you are the parent or guardian of the student you are enrolling — or an adult enrolling for yourself — and that the information you give us is accurate and kept up to date.
Your account
- Keep your login details confidential. You are responsible for activity that happens under your account.
- Tell us promptly at cicero@cicerolearning.com if you believe your account has been used without your permission.
- We may suspend or close an account that is used in breach of these terms, or where doing so is necessary to protect students, teachers, or the service.
The service
Cicero provides one-to-one, online tutoring and courses delivered by our teachers, together with scheduling, coursework, assessment, and record-keeping. Live classes run over third-party tools such as Google Meet.
We work to match each student with a suitable teacher and to reschedule where circumstances require it. Learning is individual, and we do not promise any particular grade, test score, admission, or other academic outcome. What we commit to is qualified teachers, genuine attention, and honest communication about a student's progress.
Enrolment, tuition and payment
- Fees are those quoted to you at enrolment. The specific tuition, billing schedule, and any package terms are set out in your enrolment arrangement.
- Payments are processed by Stripe, which is PCI compliant. We do not store payment card numbers.
- By enrolling you authorise us, through Stripe, to charge the applicable fees on the schedule agreed at enrolment, including any recurring charges until you cancel.
- If a payment is late or fails, we may pause classes until the balance is settled. You are responsible for any taxes that apply to your purchase.
Scheduling, cancellations and refunds
The cancellation, rescheduling, and refund policy provided to you at enrolment applies to your account. In general, we ask for reasonable advance notice to reschedule or cancel a lesson so the teacher's time can be reallocated; lessons missed without notice may be charged.
Where a student is funded through a scholarship or education savings account programme, such as Missouri's MOScholars, the programme's own rules may also apply to payment, attendance, and refunds, and we will follow them where they govern.
Acceptable use and conduct
We want classes to be safe, focused, and respectful. When using Cicero, you and your student agree not to:
- Harass, abuse, threaten, or demean a teacher, another student, or our staff
- Share account access, or let anyone other than the enrolled student attend that student's classes
- Record a class without our consent and the consent of everyone in it
- Disrupt classes or interfere with other people's use of the service
- Copy, resell, or redistribute our course materials, or infringe anyone's intellectual property
- Attempt to breach the security of the site, or use it to break the law or harm others
Parents and guardians are responsible for their student's conduct during the service. We may pause or end access where conduct puts a teacher, a student, or the service at risk.
Class recordings
We do not record classes by default. Where a recording would help — a student wants to review a lesson, or a family asks for one — we obtain the parent or guardian's consent first, as described in our Privacy Policy. You may not record a class yourself without our consent and the consent of the other participants.
Intellectual property
The website, curriculum, lesson materials, assessments, and other content we provide are owned by Cicero or our licensors. While a student is enrolled, we grant your family a limited, personal, non-transferable licence to use the materials we provide for that student's own education. You may not copy, sell, distribute, publicly post, or otherwise share our materials outside your household.
Your student keeps ownership of the original work they create. You grant us the permission we need to use that work to deliver the service, assess progress, and maintain educational records, as described in our Privacy Policy. We do not use student work to train artificial intelligence models.
"Cicero Learning" and our logos are our trademarks. Please don't use them without our written permission.
Third-party services
We rely on trusted third parties to run the service — for example Google Meet for live classes and Stripe for payments. Your use of those tools is also governed by their own terms and privacy notices, and we are not responsible for third-party services or their availability.
Privacy
How we collect, use, and protect personal information — including the extra protections that apply to children's information under COPPA — is set out in our Privacy Policy, which forms part of these terms.
Disclaimers
The service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that it will produce any particular educational result.
Limitation of liability
To the fullest extent permitted by law, Cicero will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost data or lost opportunity, arising from your use of the service. Our total liability for any claim relating to the service is limited to the amount you paid us for the service in the twelve months before the event giving rise to the claim.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. Nothing in these terms limits liability that cannot be limited by law.
Indemnification
You agree to indemnify and hold Cicero harmless from claims, losses, and reasonable expenses arising out of your or your student's breach of these terms or misuse of the service, except to the extent the claim results from our own fault.
Suspension and termination
You may stop using the service and close your account at any time, subject to the enrolment arrangement you agreed. We may suspend or end access for breach of these terms, non-payment, or conduct that puts a student, a teacher, or the service at risk. When an account ends, we handle records according to the retention schedule in our Privacy Policy, including keeping transcripts and completion records for the period our accreditation requires.
Changes to these terms
We will update these terms as our practices change. When we make a material change we will post the new version here with a fresh effective date, and where the change affects enrolled families we will email account holders rather than relying on you to check.
Governing law and disputes
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. If a dispute arises, we ask that you first contact us at cicero@cicerolearning.com so we can try to resolve it directly — most issues are settled quickly that way. Any dispute that cannot be resolved will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.
